Windtree Therapeutics Faces Nasdaq Delisting After BNB Treasury Strategy Falters
Delisting and Stock Price Decline
On August 19, 2025, Nasdaq notified Windtree Therapeutics that its common stock would be delisted due to noncompliance with Nasdaq Listing Rule 5550(a)(2), which requires companies to maintain a minimum bid price of $1.00 per share for 30 consecutive business days. As a result, trading of Windtree's stock was suspended on August 21, 2025. In response, the company's stock price plummeted 77.2% to $0.11 per share, with an additional 4.7% decline in after-hours trading. This marks a significant downturn from the company's previous stock price levels.
BNB Treasury Strategy and Its Impact
In July 2025, Windtree Therapeutics announced a BNB treasury strategy, making it one of the first Nasdaq-listed companies to adopt such an approach. The strategy involved a $60 million securities purchase agreement with Build and Build Corp, with options to acquire up to an additional $140 million in Binance Coin (BNB). This announcement initially led to a 32.2% increase in the company's stock price. However, the stock price began to decline thereafter, and despite further efforts, including a $500 million equity line of credit and a $20 million stock purchase agreement, the company's stock failed to recover. The BNB treasury strategy, which aimed to provide exposure to BNB without direct ownership, did not yield the anticipated financial benefits.
Transition to Over-the-Counter Market
Following the delisting, Windtree Therapeutics plans to transition its stock to the over-the-counter (OTC) market under the existing ticker symbol "WINT." The company has applied for trading on the OTCID tier, though approval is not guaranteed. Despite the delisting, Windtree intends to continue fulfilling its reporting obligations with the U.S. Securities and Exchange Commission (SEC), ensuring transparency for its shareholders.
Market Reactions and Broader Implications
The delisting and subsequent stock price decline have raised concerns among investors about the viability of adopting cryptocurrency-based treasury strategies, especially for companies lacking strong financial fundamentals. While BNB reached a new all-time high during this period, the performance of Windtree's stock highlights the risks associated with speculative financial strategies. The company's experience serves as a cautionary tale for other firms considering similar approaches
