U.S. SEC Nears Decision on WisdomTree’s XRP Spot ETF Amid Regulatory and Legal Uncertainty

The U.S. Securities and Exchange Commission (SEC) is currently evaluating WisdomTree's proposal for a spot XRP Exchange-Traded Fund (ETF), assessing its compliance with investor protection standards and safeguards against market manipulation. This review process, initiated with the publication of the filing in the Federal Register, includes a 21-day public comment period, with a final decision expected by late October 2025.

WisdomTree's XRP ETF aims to provide investors with regulated exposure to XRP, the native asset of the XRP Ledger, which is primarily utilized for fast, low-cost cross-border payments. The proposed fund would be listed on the Cboe BZX Exchange and managed by The Bank of New York Mellon. The filing emphasizes XRP's decentralized natue and liquidity, arguing that these characteristics mitigate the risks of market manipulation.

However, the SEC's decision is complicated by ongoing legal uncertainties surrounding Ripple Labs, the company behind XRP. In 2023, a federal court ruled that XRP sales to retail investors through exchanges did not constitute securities transactions. Despite this, the SEC has appealed the decision, and the legal battle remains unresolved. This unresolved litigation creates a regulatory gray area, as the classification of XRP as a security under U.S. law remains in flux.

The SEC's evaluation also considers the absence of a regulated futures market for XRP, which has been a factor in previous ETF rejections due to concerns over market manipulation. However, the SEC has previously approved spot ETFs for Bitcoin and Ethereum without such markets, suggesting a potential shift in regulatory approach.

Investor sentiment has been influenced by these developments, with XRP's price experiencing fluctuations in response to legal and regulatory news. The outcome of the SEC's review and the resolution of Ripple's legal challenges will be pivotal in determining the future of XRP ETFs in the U.S. market.
