Gemini Secures MiFID II License in Malta, Expanding Crypto Derivatives Offering Across Europe

Gemini, the U.S.-based cryptocurrency exchange, has secured in-principle approval from the Malta Financial Services Authority (MFSA) for an Investment Firm license under the European Union's Markets in Financial Instruments Directive (MiFID II). This regulatory milestone enables Gemini to offer regulated crypto derivatives, including perpetual futures and options, across the European Economic Area (EEA).

Strategic Significance

This approval marks a pivotal step in Gemini's European expansion strategy. By selecting Malta as its EU hub, the company aligns with Malta's proactive regulatory approach, which has been instrumental in attracting fintech and digital asset companies. Malta's established legal framework, including the Virtual Financial Assets (VFA) Act introduced in 2018, provides a comprehensive licensing regime that extends to anti-money laundering and counter-financing of terrorism (AML/CFT), market abuse prevention, and customer protection.

Gemini's decision to base its MiCA (Markets in Crypto-Assets) application in Malta further underscores its commitment to regulatory compliance and sustainable growth in the European market. Once granted, the MiCA license will allow Gemini to offer a unified regulatory framework for its services across multiple EU markets.

Market Implications

The MiFID II license positions Gemini to cater to the growing demand for crypto derivatives, particularly among institutional investors seeking advanced trading options. Perpetual futures contracts, which do not have an expiry date, are among the key products Gemini plans to introduce in the region . This move aligns with a broader trend of crypto exchanges entering the derivatives market as demand for such products rises. Firms like Coinbase and Kraken have also obtained MiFID II licenses to offer similar services in the region.

Gemini's expanded offerings will complement its existing services, including its ActiveTrader™ platform with over 100 trading pairs and an over-the-counter (OTC) and electronic OTC (eOTC) system tailored to institutional clients . This comprehensive suite of services aims to provide a secure and compliant trading environment for both retail and institutional investors across the EEA.

Gemini's acquisition of the MiFID II license represents a significant advancement in its European operations, aligning with the company's strategy to offer a full spectrum of regulated crypto services. By establishing a strong regulatory foundation in Malta, Gemini is well-positioned to meet the evolving needs of the European digital asset market, fostering greater institutional participation and enhancing the overall credibility of the crypto ecosystem.
