Circle’s USDC Stablecoin Issuer Files for NYSE IPO
Circle Internet Group, the issuer of the USDC stablecoin, has filed for an Initial Public Offering (IPO) on the New York Stock Exchange (NYSE) under the ticker symbol "CRCL." The company aims to raise up to $624 million by offering 24 million shares, priced between $24 and $26 each. Circle plans to issue 9.6 million shares, with the remaining 14.4 million shares being sold by existing stakeholders, including venture capital firms Accel and General Catalyst. Notably, ARK Investment Management, led by Cathie Wood, has expressed interest in purchasing up to $150 million worth of shares in the IPO.
Company Overview
Founded in 2013 by Jeremy Allaire and Sean Neville, Circle is a peer-to-peer payments technology company headquartered in New York City. The company operates USDC, a stablecoin pegged to the U.S. dollar, which has a market capitalization exceeding $60 billion. USDC is widely used in various applications, including payments, lending, and trading across exchanges and decentralized finance (DeFi) platforms.
Financial Performance
In its IPO filing, Circle reported revenue of $1.68 billion in 2024, up from $1.45 billion the previous year. However, net income from continuing operations decreased to $157 million from $271.5 million, attributed to rising operating costs and significant expenditures on fees and transaction costs to partners like Coinbase.
Market Context
Circle's IPO filing comes amid a favorable regulatory environment for cryptocurrencies in the United States. The Trump administration has pledged a more "rational" approach to digital asset regulations, encouraging companies from the industry to go public. This move aligns with a broader trend of cryptocurrency firms seeking public listings, including exchanges like Kraken and Gemini.
Strategic Considerations
The decision to go public follows Circle's rejection of a $4–5 billion acquisition offer from Ripple, indicating the company's commitment to pursuing an independent path forward. Additionally, Circle has secured in-principle approval from the Abu Dhabi Financial Services Regulatory Authority to operate as a money services business in the region, expanding its global footprint.
Circle's IPO represents a significant step in the maturation of the cryptocurrency industry, reflecting growing institutional interest and the increasing integration of digital assets into traditional financial markets.
